1. Eligibility: The Ghirardelli LUXE MILK Sweepstakes ("Sweepstakes" or "Promotion") is open only to legal residents of the 50 United States or District of Columbia age 18 or older at time of entry. Employees, officers and directors of Ghirardelli Chocolate Company ("Sponsor"), Alcone Marketing Group ("Administrator"), National Breast Cancer Foundation, Inc.® and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies and entities involved in the design and implementation of the Sweepstakes and the immediate family members or members of the same household of such individuals are not eligible. "Immediate family" means parents, children, siblings and spouse and their respective spouses, regardless of where they reside. Void in Puerto Rico and where prohibited.

2. Sweepstakes Period: Sweepstakes begins on September 1, 2009 at 12:00:01 AM Pacific Time ("PT") and ends on November 30, 2009 at 11:59:59 PM PT.

3. Entry Into Sweepstakes: Purchase any package of Ghirardelli Chocolate LUXE MILK™ (Almond, Crisp, Duet, Milk or Hazelnut bars or bags) specially marked with a Pink Ribbon and a reference to a donation to the National Breast Cancer Foundation, while supplies last, access the website at www.luxemilk.com and follow these steps.

• Click on the "Ghirardelli LUXE MILK Sweepstakes" link or icon.
• Once at the Sweepstakes page, follow the instructions to complete online entry form which will require your entering the GCC# from the specially marked package that you purchased and submit as directed.

You also may obtain a GCC# without a purchase by going to any retailer or other location in the United States selling the specially marked Ghirardelli Chocolate LUXE MILK™ (Almond, Crisp, Duet, Milk or Hazelnut bars or bags) packages and copying the GCC# from the product package.

Entries must be received by 11:59:59 PM PT on November 30, 2009. Limit of one entry per person or email address per day. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed to be submitted by the authorized account holder of the email address submitted at the time of entry. The authorized account holder is the natural person assigned to the email address by the organization responsible for assigning email addresses. Any attempt by any participant to obtain more than one entry per day by using multiple/different email addresses, identities or any other methods will void all that participant’s entries and that participant will be disqualified.

Ghirardelli will donate $50,000 to the National Breast Cancer Foundation, plus $1.00 for each GCC# entered at www.luxemilk.com up to an additional donation of $50,000 for a maximum donation of $100,000.

4. Drawing: A random drawing will be conducted on or about December 14, 2009 from among all eligible entries received by Administrator. Odds of winning a prize depend on number of eligible entries received.

5. Notification: Prizes will be shipped to winners 8-12 weeks after drawing has taken place. First Prizes may be awarded via an email coupon. Return of any prize as undeliverable will cause prize to be forfeited and awarded to an alternate winner.

6. Prizes/Approximate Retails Values (ARV): (400) Grand Prizes: Pink Designer Handbag*. ARV: $200. Prize may be awarded in the form of a $200 gift card to be determined by Sponsor. (1,000) First Prizes: Coupon for a Free Chocolate LUXE Bar or Bag. Maximum ARV: $3.99. Total Approximate Retail Value of Prizes: $83,990.

7. Prize Restrictions: No cash or other prize substitution in whole or in part except by Sponsor at its sole discretion for any reason for prize of comparable value. No prize transfers. Limit one prize per person/family/household/email address.

8. General Conditions: By participating, entrants agree: (a) to be bound by these Official Rules and the decisions of Sponsor and judges which shall be final and binding in all matters relating to the Sweepstakes; (b) to release, discharge and hold harmless Sponsor, Administrator and their respective affiliates, parent companies, subsidiaries, advertising and promotion agencies, and their respective shareholders, officers, directors, employees, representatives and agents ("Sweepstakes Entities") from and against any and all liability, injuries, losses, damages, rights, claims and actions of any kind, including personal injury and/or death or property damage, sustained in connection with his/her participation in this Promotion, or from his/her receipt, possession, acceptance and/or use or misuse of any prize, or for any error in the announcement of any prize; (c) that the foregoing Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guaranty, expressed or implied, in fact or in law, relating to a prize; (d) entrants who do not comply with these Official Rules, or who attempt to interfere with this Sweepstakes in any way shall be disqualified and (e) if a winner, by accepting prize, to the use of his/her name, photograph and/or likeness by Sponsor or any party authorized by Sponsor for advertising, trade and promotional purposes in all media without review or additional compensation (except where prohibited by law) and, upon request, to provide such consent in writing. Gift card is subject to terms and conditions of issuer and may be used for any permissible use.

9. Liability Limitations: Participation in Sweepstakes is subject to the Privacy Policy and Terms of Use of www.ghirardelli.com. IF YOU DO NOT AGREE TO THE PRIVACY POLICY AND TERMS OF USE OF www.ghirardelli.com. DO NOT ENTER THE SWEEPSTAKES, PROVIDE ANY PERSONAL INFORMATION ON THE WEB SITE OR OTHERWISE USE THE WEB SITE. The Sweepstakes Entities are not responsible for and shall not be liable for: (a) printing or typographical errors in any Sweepstakes-related materials and in the event of any inconsistency between Sweepstakes-related materials and these Official Rules, these Official Rules shall govern and control, (b) technical failures of any kind including but not limited to electronic, hardware or software program, network, telephone (including wireless devices and/or handsets), Internet, website, ISP availability or computer malfunctions, failures, or difficulties of any kind, including without limitation, computer malfunction or by any human error which may occur in the administration, collection and processing of entries; (c) failed, incomplete, garbled or delayed computer transmissions; (d) lost, late, undeliverable, misdirected or incomplete or inaccurate entries or regular or express mail; (e) unauthorized human intervention in any part of the entry process or the Sweepstakes; (f) any error or condition that may cause the Sweepstakes to be disrupted or corrupted, regardless of the cause; or (g) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in the Sweepstakes or receipt or use or misuse of any prize. If, for any reason, an entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, provided that, it is possible to award another entry prior to discontinuance of the Sweepstakes.

Sponsor reserves the right, at its sole discretion, to cancel or suspend the Sweepstakes or any portion thereof should viruses, bugs, technical difficulties, suspected or actual electronic tampering, or other causes corrupt the administration, security, integrity or proper play of the Sweepstakes. In the event of cancellation or suspension, notification thereof will be posted at www.ghirardelli.com. and the prizes will be awarded in a random drawing among all eligible entries legitimately received immediately prior to the event causing the termination or suspension. Sponsor, at its sole discretion, reserves the right to void any entries determined by Sponsor in its sole discretion to have been submitted fraudulently or in contravention of the Official Rules. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Use of automated entry devices or programs is prohibited.

Sweepstakes, including construction, validity, interpretation and enforceability of these Official Rules shall be (1) governed by the laws of the State of California without regard to choice of law or conflict of law principles (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California; (2) any dispute, claims and causes of action arising out of or connected in any way with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and brought exclusively in a federal or state court in California; (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (4) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
